We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website without notice. We will not be liable to you if for any reason all or any part of the Website is unavailable at any time or for any period.  While we make reasonable efforts to maintain and update the information on the Website, we make no representations or guarantees that the Website is accurate, complete or updated. 

Access to some areas of our Website are limited to registered users.  You may be asked to provide certain registration details or other information that is correct, current, and complete. You agree that all information you provide to register with this Website is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

In the event you need a username and/or password to use the Website, you are responsible for keeping your username and/or password confidential.  You are also responsible for all use of your account and that such uses comply with our Terms and Policies.  

We have the right to disable any username or password, at any time if, in our opinion, you have violated any provision of these Terms of Use.

ONEHOPE®, SIPSTERHOOD®,  ROOTED IN PURPOSE®, HERSTORY®, WINENOT®, the Glitter Bottle tradedress, THE ORIGINAL GLITTER BOTTLE®, CASE FOR A CAUSE®, SOCIAL IMPACT AS A SERVICE®, CAUSE-CENTRIC COMMERCE®, CASE OF THE MONDAYS® and all related names, logos, marks, designs, and slogans (collectively, the “Marks”) are registered trademarks of ONEHOPE® or its licensors.  You cannot use the Marks without permission of ONEHOPE®.  All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

5. Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. By way of example and not limitation, You agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries). 

  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.

  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.

  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability.

Additionally, you agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.

  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website. 

  • Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.

  • Otherwise attempt to interfere with the proper working of the Website.

6. Cause Entrepreneur Advertising and Trademark Terms

  • Trademark Guidelines: ONE HOPE provides clear guidelines outlining how our trademark can be used. This would include specifications on logo usage, permissible color schemes, font types, and any other visual elements associated with our brand. Cause Entrepreneurs are not permitted to leverage the "One Hope Winery" trademark in any form of advertising.

  • Permission Requirements: Cause Entrepreneurs need to obtain explicit permission from ONE HOPE before using our trademark in any paid advertising creative campaigns. 

  • Quality Control: Implement quality control measures to ensure that ONE HOPE trademark is used appropriately and in line with our brand values. Alcohol has many restrictions and this needs to be understood else the brand website will be penalized.

  • Monitoring and Enforcement: We will actively monitor the use of our trademark in paid advertising to detect any unauthorized or improper usage. If we identify any violations, we will take appropriate enforcement actions, which could include legal measures if necessary.

  • Compliance with Advertising Regulations: Cause Entrepreneurs must ensure that their advertisements comply with all relevant advertising regulations and laws, including those related to truthfulness, transparency, and consumer protection.

  • Disclosure of Relationship: Any advertisements featuring our trademark must disclose the relationship between the B2B consultant and our company. This helps to maintain transparency and prevent any misleading or deceptive practices.

  • Usage Restrictions: We may impose certain restrictions on how our trademark can be used in paid advertising, such as prohibiting its use in certain contexts or alongside certain types of content.
    Direct Linking Requirement: All advertisements utilizing our trademark must include a direct link to the corresponding product or service page on onehopewine.com.

  • Prohibition on External Links: Advertisements featuring our trademark cannot include links to any other website or domain, excluding onehopewine.com.

  • Google My Business Compliance: If Cause Entrepreneurs set up a Google My A business account for local advertising purposes must exclusively link to onehopewine.com. The account should accurately represent One Hope Winery and comply with Google's terms of service.

  • Restriction on Paid Content Repurposing: Cause Entrepreneurs cannot repurpose One Hope Wine's paid advertisements for their own paid content. All advertisements must be original and comply with our trademark usage guidelines.

7. User Contributions

The Website may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow you and other users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Website.

All User Contributions must comply with the Content Standards set out in these Terms of Use below.  Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns a non-exclusive, royalty-free, perpetual, transferable, irrevocable, fully paid-up, worldwide and sub-licensable right to use, copy, reproduce, modify, perform, display, distribute, adapt, translate, distribute, publish, create derivative works of, and otherwise disclose or incorporate into other works any such material for any purpose to the extent permissible by law.

 You represent and warrant that: 

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

  • All of your User Contributions do and will comply with these Terms of Use. 

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.  We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website. 

8. Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.

  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.

  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.

ONEHOPE® welcomes your feedback regarding our existing business.  If you want to send us feedback, please email info@onehopewine.com.  Please be sure to provide specific feedback on any existing ONEHOPE® offerings.

While ONEHOPE® welcomes your feedback, we do not accept, review or consider unsolicited ideas, works, suggestions, proposals, or materials, including for ad campaigns, products, design, services, technologies, marketing, or creative materials (collectively, the “Submissions”).  Please do not send us Submissions in any form so that we may avoid any disputes or misunderstandings regarding offerings we make at ONEHOPE®.

If you still send us your Submissions, despite our request that you not do so, you agree to the following:

  • ONEHOPE® will automatically solely and exclusively own your Submissions and any related intellectual property rights associated with them, without any compensation to you;

  • Your Submissions will not be returned to you and you are not entitled to any compensation, attributions or responses.

  • ONEHOPE® has the right to use, copy, share, or disclose the Submissions without compensating you.

11. DMCA - Copyright Policy

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. ALCOHOLIC BEVERAGES MAY BE SOLD AND DELIVERED ONLY TO PERSONS WHO ARE AT LEAST 21 YEARS OLD. 22. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website.

23. ONEHOPE Rewards

As a ONEHOPE® customer, you are eligible to be a part of the ONEHOPE® Loyalty Rewards Program (the “Program”).  You must also create a onehopewine.com account by registering for free on the Website and agreeing to participate in the Program.  The Program is open to all legal residents of any state where ONEHOPE® sells its products and who are at least 21 years of age.  VOID WHERE PROHIBITED BY LAW.

You earn Program points (the “Loyalty Points”) by making a purchase on our website, receiving perk Loyalty Points from ONEHOPE® for celebrations like birthdays and anniversaries, or reaching certain milestones as a participant in our Cause Entrepreneur program.

Loyalty Points expire after 6 months of inactivity.  An active user is a user who is opted-in to the Program and performed one or more of the following actions within 6 months:

  • Making a purchase

  • Receiving a perk/reward - This includes all perks except for earning points via the Birthday campaign and Anniversary campaign. For example, if a customer is inactive and only received points as part of the Birthday campaign, they will be considered inactive.

  • Completing a task

Customers who exceed the selected time frame without completing one of the above-mentioned actions will lose their accrued point balance due to inactivity.  ONEHOPE, in its discretion, may send you occasional notifications to remind you that your Loyalty Points are about to expire.  However, it is your responsibility to monitor the expiration of your Loyalty Points.  

By participating in the Program, you agree (i) to release, discharge, indemnify and hold harmless ONEHOPE®, its parents, subsidiaries, affiliates, retailers, advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees and agents (collectively, “Rewards Released Parties”) from any liability or damages which may arise out of participation in the Program or out of the acceptance, use, misuse or possession of any Reward or products attained, achieved or received through this Program. All applicable federal, state and local laws and regulations apply.

ONEHOPE® reserves the right to modify, suspend or terminate any aspect of the Program at any time.  Any changes ONEHOPE® makes will be effective immediately upon notice, which it may give either by posting the new Terms of Use on the Website or via email to you. Your participation in the Program after such notice will be deemed acceptance of such changes, so please check back regularly for any updates and changes. 

Any personal information we collect in relation to the Program will be used in accordance with our Privacy Policy.  By participating in the Program, you agree to allow ONEHOPE® and its designees to use your name, biographical information, image, likeness and/or statements about the Program for advertising, promotional and other purposes in any and all media now or hereafter devised, worldwide, in perpetuity, without additional compensation, notification or permission, unless prohibited by law.

24. Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the County of Orange although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

At Company’s sole discretion, it may require You to submit any disputes arising from these Terms of Use or use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law.  Some claims may be better addressed in small claims court consistent with jurisdictional and dollar limits and the Company will make such an assessment on a case by case basis.

25. Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect. 

26. Entire Agreement

The Terms of Use, Terms of Sale, and our Privacy Policy constitute the sole and entire agreement between you and ONEHOPE, Inc. regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

These terms and conditions (these “Terms”) apply to the purchase and sale of products and services through ONEHOPE Wine’s Website (the “Site”). These Terms are subject to change by ONEHOPE, Inc. (referred to as “us”, “we”, or “our” as the context may require) without prior written notice at any time, in our sole discretion. Any changes to the Terms will be in effect as of the “Last Updated Date” referenced on the Site. You should review these Terms prior to purchasing any product or services that are available through this Site. Your continued use of this Site after the “Last Updated Date” will constitute your acceptance of and agreement to such changes.

These Terms are an integral part of the Website Terms of Use that apply generally to the use of our Site. You should also carefully review our Privacy Policy before placing an order for products or services through this Site (see Section 9).

2. Order Acceptance and Cancellation. You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us or we will not be obligated to sell the products or services to you. We may choose not to accept orders at our sole discretion, even after we send you a confirmation email with your order number and details of the items you have ordered. 

3. Prices and Payment Terms. 

(a) All prices, discounts, and promotions posted on this Site are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes or charges for shipping and handling. All such taxes and charges will be added to your merchandise total, and will be itemized in your shopping cart and in your order confirmation email. We strive to display accurate price information, however we may, on occasion, make inadvertent typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

(b) We may offer from time to time promotions on the Site that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern. 

(c) Terms of payment are within our sole discretion and payment must be received by us before our acceptance of an order. We accept all major credit cards for all purchases. You represent and warrant that (i) the credit card information you supply to us is true, correct and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any, regardless of the amount quoted on the Site at the time of your order. 

4. Shipments; Delivery; Title and Risk of Loss. 

(a) We will arrange for shipment of the products to you. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process. Shipping and handling charges are reimbursement for the costs we incur in the processing, handling, packing, shipping, and delivery of your order. 

(b) Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments.

5. Returns and Refunds. Except for any products designated on the Site as final sale or non-returnable, we will accept a return of the products for a refund of your purchase price, less the original shipping and handling costs.   Products eligible for a refund must be returned within 14 days of delivery with valid proof of purchase and must be returned in their original condition. 

To return products, please call (949) 329-5576 or email our Returns Department at support@onehopewine.com to obtain a Return Merchandise Authorization (“RMA”) number before shipping your product. No returns of any type will be accepted without an RMA number.

You are responsible for all shipping and handling charges on returned items, unless otherwise specified. You bear the risk of loss during shipment. We therefore strongly recommend that you fully insure your return shipment against loss or damage and that you use a carrier that can provide you with proof of delivery for your protection.

Refunds are processed within approximately 3-7 business days of our receipt of your merchandise. Your refund will be credited back to the same payment method used to make the original purchase on the Site.

WE OFFER NO REFUNDS ON ANY PRODUCTS DESIGNATED ON THIS SITE AS NON-RETURNABLE.

For defective returns, please refer to the manufacturer’s warranty (see Section 6) included with the product or as detailed in the product’s description on our Site.

6. Limitation of Liability. IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH ANY BREACH OF THESE TERMS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.

OUR SOLE AND ENTIRE MAXIMUM LIABILITY , FOR ANY REASON, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE PRODUCTS AND SERVICES YOU HAVE ORDERED THROUGH OUR SITE. 

The limitation of liability set forth above shall: (i) only apply to the extent permitted by law.

7. Goods Not for Resale or Export. You represent and warrant that you are buying products or services from the Site for your own personal or household use only, and not for resale or export. You further represent and warrant that all purchases are intended for final delivery to locations within the US. 

8. Gift Cards.  ONEHOPE® gift cards, both physical and electronic (collectively, the “Gift Cards”) may be used to purchase eligible items on the Site.  Gift Cards are like cash so please keep it safely.  We are not responsible for lost, stolen or destroyed cards or use of your Gift Card without your permission.  Gift Cards cannot be reloaded, resold or redeemed for cash, except as required by law.  Amount of purchase will be deducted from the Gift Card and any balance will be available for future purchases.  If your Gift Card’s value is less than the purchase amount, you will need to pay the remaining balance with an acceptable payment method.  Gift Cards do not expire and are final sale.  

9. Privacy. We respect your privacy and are committed to protecting it. Our Privacy Policy, governs the processing of all personal data collected from you in connection with your purchase of products or services through the Site.

10. Force Majeure. We will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, pandemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

11. Governing Law and Jurisdiction. This Site is operated from the US. All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of California.

12. Dispute Resolution and Binding Arbitration.

(a) YOU AND ONEHOPE, INC. ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

ANY CLAIM, DISPUTE OR CONTROVERSY (WHETHER IN CONTRACT, TORT OR OTHERWISE, WHETHER PRE-EXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE AND EQUITABLE CLAIMS) BETWEEN YOU AND US ARISING FROM OR RELATING IN ANY WAY TO YOUR PURCHASE OF PRODUCTS OR SERVICES THROUGH THE SITE, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.

(b) The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Consumer Arbitration Rules (the “AAA Rules”) then in effect, except as modified by this Section 12. (The AAA Rules are available at www.adr.org/arb_med or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this section.

The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the agreement is void, voidable, or otherwise invalid. The arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. Any award of the arbitrator(s) will be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction.

(c) You may elect to pursue your claim in small-claims court rather than arbitration if you provide us with written notice of your intention do so within 60 days of your purchase. The arbitration or small-claims court proceeding will be limited solely to your individual dispute or controversy.

(d) You agree to an arbitration on an individual basis. In any dispute, NEITHER YOU NOR ONEHOPE, INC. WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS IN COURT OR IN ARBITRATION OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. The arbitral tribunal may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitral tribunal has no power to consider the enforceability of this class arbitration waiver and any challenge to the class arbitration waiver may only be raised in a court of competent jurisdiction.

If any provision of this arbitration agreement is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced.

13. Assignment. You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section 13 is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.

14. No Waivers. The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of ONEHOPE, Inc.

15. No Third-Party Beneficiaries. These Terms do not and are not intended to confer any rights or remedies upon any person other than you.

16. Notices.

(a) To You. We may provide any notice to you under these Terms by: (i) sending a message to the email address you provide or (ii) by posting to the Site. Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is your responsibility to keep your email address current.

(b) To Us. To give us notice under these Terms, you must contact us as follows: (i) by email to legal@onehopewine.com; or (ii) by personal delivery, overnight courier, or registered or certified mail to ONEHOPE, Inc., Attn:  Legal Department 3310 S. Fairview Street, Santa Ana, CA  92704. We may update the email or address for notices to us by posting a notice on the Site. Notices provided by personal delivery will be effective immediately. Notices provided by email transmission or overnight courier will be effective one business day after they are sent. Notices provided by registered or certified mail will be effective three business days after they are sent.

17. Severability. If any provision of these Terms is invalid, illegal, void or unenforceable, then that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions of these Terms.

18. Entire Agreement. Our order confirmation, these Terms, our Website Terms of Use and our Privacy Policy will be deemed the final and integrated agreement between you and us on the matters contained in these Terms.
